This Trade Advisory Pro Terms of Use agreement is made between you and the operators of Trade Advisory Pro. By using or accepting any Trade Advisory Pro Services by clicking on 'I agree', you confirm that you have read, understood, and accepted all the terms and conditions outlined in these Terms of Use and our Privacy Policy here. Furthermore, when using certain features of the Services, you may be subject to specific additional terms and conditions that apply to those features.

Please carefully review the terms. The terms include provisions that specify "Legal Binding Arbitration" as the method for resolving disputes.

II. General Provisions - Trade Advisory Pro

1. About These Terms of Use

a. Contractual Relationship with Trade Advisory Pro

These Terms create a legal agreement and binding contract between you and the operators of Trade Advisory Pro.

b. Supplementary Terms for Trade Advisory Pro

Given the rapid growth of configured remote accounts on the Trade Advisory Pro network, these Terms between you and Trade Advisory Pro Operators do not list or encompass all rights and responsibilities of each party, and do not ensure complete alignment with the needs that may arise from future development.

c. Changes to These Terms of Use

Trade Advisory Pro reserves the right to modify or change these Terms at any time at its sole discretion. Trade Advisory Pro will inform users of such changes by updating the terms on its website. ALL CHANGES OR MODIFICATIONS TO THESE TERMS WILL BECOME EFFECTIVE UPON PUBLICATION ON THE WEBSITE OR NOTIFICATION TO USERS. YOUR CONTINUED USE OF TRADE ADVISORY PRO SERVICES INDICATES YOUR ACCEPTANCE OF THE MODIFIED AGREEMENT AND RULES. IF YOU DO NOT AGREE TO ANY CHANGES TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USING TRADE ADVISORY PRO SERVICES. IT IS RECOMMENDED THAT YOU REGULARLY REVIEW THESE TERMS TO ENSURE THAT YOU FULLY UNDERSTAND THE TERMS AND CONDITIONS APPLICABLE TO YOUR ACCESS TO AND USE OF TRADE ADVISORY PRO SERVICES.

d. Prohibition of Use by Trade Advisory Pro

By accessing and using Trade Advisory Pro services, you represent and warrant that you have not been included on any trade embargoes or economic sanctions lists (such as the United Nations Security Council sanctions list), the list of Specially Designated Nationals maintained by OFAC (the Office of Foreign Assets Control of the U.S. Department of the Treasury), or the Denied Persons or Entity List of the U.S. Department of Commerce. Trade Advisory Pro reserves the right to choose markets and jurisdictions in which to conduct business and may restrict or refuse, at its discretion, the provision of Trade Advisory Pro services in certain countries or regions.

About Trade Advisory Pro

Eligibility

By registering to use Trade Advisory Pro services, you guarantee and warrant that: (i) as an individual, you are at least 18 or of legal age to form a binding contract under applicable laws; (ii) as an individual, legal person, or other organization, you have full legal capacity and sufficient authorization to enter into these Terms; (iii) you have not been previously suspended or removed from using the Trade Advisory Pro platform or its services; (iv) you are not a resident of, located in, or attempting to access the Trade Advisory Pro platform or its services from, a Restricted Location. For the purposes of this policy, a 'Restricted Location' includes any countries not listed in the four continents (Europe, Asia, Americas(South, North), Australia, Antarctica, Africa); (vi) if you act as an employee or agent of a legal entity and enter into these Terms on their behalf, you represent and warrant that you have the necessary rights and authorization to bind such legal entity and to access and use the Trade Advisory Pro platform and services on behalf of such legal entity.

Please be aware that there are legal requirements in various countries that may limit the products and services that Trade Advisory Pro can legally provide. As a result, some products and services and certain features within the Trade Advisory Pro platform may not be available or may be restricted in certain jurisdictions or regions or to certain users. It is your responsibility to inform yourself about and comply with any restrictions and requirements that apply to accessing and using the Trade Advisory Pro platform and services from each country from which you or someone on your behalf accesses them. Trade Advisory Pro operators reserve the right to change, modify, or impose additional restrictions on accessing and using the Trade Advisory Pro platform and services at their discretion at any time without prior notice.

Account Security

Trade Advisory Pro has been dedicated to preserving the security of User-entrusted funds, and has implemented industry-standard protection for Trade Advisory Pro Services. However, the actions of individual Users may pose risks. You are expected to treat your access credentials (such as username and password) as confidential information and not to reveal such information to any third party. You also agree to be solely responsible for taking the necessary security measures to protect your Account and personal information.

You are solely responsible for safeguarding your Trade Advisory Pro Account and password, and for all activity that occurs under your Account. Trade Advisory Pro assumes no liability for any loss or consequences that result from unauthorized or authorized use of your account credentials, including but not limited to the disclosure or release of information, the consent or submission to various rules and agreements through website clicks, online agreement renewal, etc.

Trade Advisory Pro Services

After completing the setup process for your Trade Advisory Pro Remote Account, you may access various Trade Advisory Pro Services, including services for obtaining trading, research, and other information provided by Trade Advisory Pro, participating in user activities organized by Trade Advisory Pro, and so on, in accordance with the provisions of these Terms (including Trade Advisory Pro Platform Rules and other individual agreements). Permit or prohibit certain users from using Trade Advisory Pro services in accordance with relevant Trade Advisory Pro platform rules.

1. Service Usage Guidelines

a. License

With the understanding that you will consistently follow the specific terms and conditions outlined in these Terms, Trade Advisory Pro grants you a revocable, limited, royalty-free, non-exclusive, non-transferable, and non-sublicensable license to access and use Trade Advisory Pro Services through your personal computer or Internet compatible devices for personal or internal purposes. You are prohibited from using Trade Advisory Pro Services for resale or commercial purposes, including transactions on behalf of other individuals or entities. Such actions are strictly prohibited and constitute a violation of these Terms. The layout, format, function, and access rights for Trade Advisory Pro Services will be determined at the discretion of Trade Advisory Pro. Trade Advisory Pro reserves all rights not explicitly granted in these Terms. Therefore, you are not permitted to use Trade Advisory Pro Services in any way not explicitly authorized by these Terms.

These terms only grant a limited license to access and use Trade Advisory Pro Services. As a result, you agree that when you use Trade Advisory Pro Services, Trade Advisory Pro does not transfer Services or ownership or intellectual property rights of any Trade Advisory Pro intellectual property to you or anyone else. All text, graphics, user interfaces, visual interfaces, photos, sounds, process flow diagrams, computer code (including html code), programs, software, products, information and documents, as well as the design, structure, selection, coordination, expression, look and feel, and layout of any content included in the services or provided through Trade Advisory Pro Services, are exclusively owned, controlled and/or licensed by Trade Advisory Pro Operators or its members, parent companies, licensors or affiliates.

Trade Advisory Pro owns any feedback, suggestions, ideas, or other information or materials (hereinafter collectively referred to as “Feedback”) about Trade Advisory Pro or its Services that you provide through email, Trade Advisory Pro Services, or other methods. You hereby transfer all rights, ownership, and interests in the Feedback and all related intellectual property rights to Trade Advisory Pro. You have no right to request acknowledgement or compensation based on any Feedback, or any modifications based on any Feedback.

b. Restriction

By using Trade Advisory Pro Services, you agree to and undertake to abide by the following provisions:

While using Trade Advisory Pro Services, all activities you conduct should adhere to the requirements of relevant laws and regulations, these terms and conditions, and various guidelines of Trade Advisory Pro.

Your use of Trade Advisory Pro Services should not compromise public interests, morals, or the legitimate interests of others, including any actions that would interfere with, disrupt, negatively impact, or prevent other users from using Trade Advisory Pro Services.

The following commercial uses of Trade Advisory Pro data are prohibited without written consent from Trade Advisory Pro:

Data feeding or streaming services that utilize any market data of Trade Advisory Pro.

Any other websites/apps/services that charge for or otherwise profit from (including through advertising or referral fees) market data obtained from Trade Advisory Pro.

Without prior written consent from Trade Advisory Pro, you may not modify, replicate, duplicate, copy, download, store, transmit, disseminate, transfer, disassemble, broadcast, publish, remove or alter any copyright statement or label, or license, sub-license, sell, mirror, design, rent, lease, private label, grant security interests in the properties or any part of the properties, or create derivative works or otherwise take advantage of any part of the properties.

You may not use any third party systems that are not directly associated with Trade Advisory Pro (i) to employ deep linking, web crawlers, bots, spiders, or other automatic devices, programs, scripts, algorithms, or methods, or any similar or equivalent manual processes to access, obtain, copy, or monitor any part of the properties, or replicate or bypass the navigational structure or presentation of Trade Advisory Pro Services in any way, in order to obtain or attempt to obtain any materials, documents, or information in any manner not purposely provided through Trade Advisory Pro Services; (ii) to attempt to access any part or function of the properties without authorization, or connect to Trade Advisory Pro Services or any m servers or any other systems or networks of any Trade Advisory Pro Services provided through the services by hacking, password mining, or any other unlawful or prohibited means; (iii) to probe, scan, or test the vulnerabilities of Trade Advisory Pro Services or any network connected to the properties, or violate any security or authentication measures on Trade Advisory Pro Services or any network connected to Trade Advisory Pro Services; (iv) to reverse look-up, track, or seek to track any information of any other Users or visitors of Trade Advisory Pro Services; (v) to take any actions that impose an unreasonable or disproportionately large load on the infrastructure of systems or networks of Trade Advisory Pro Services , or the infrastructure of any systems or networks connected to Trade Advisory Pro services; (vi) to use any devices, software, or routine programs to interfere with the normal operation of Trade Advisory Pro Services or any transactions on Trade Advisory Pro Services, or any other person's use of Trade Advisory Pro Services; (vii) to forge headers, impersonate, or otherwise manipulate identification, to disguise your identity or the origin of any messages or transmissions you send to Trade Advisory Pro, or (viii) to use Trade Advisory Pro Services in an illegal way.

By using Trade Advisory Pro Services, you consent to Trade Advisory Pro's right to investigate any breach of these Terms, make its own determination of whether you have violated these Terms, and take action according to applicable regulations without your consent or prior notification. Examples of such actions include, but are not limited to:

Blocking and closing order requests; Trade Advisory Pro

Freezing your Trade Advisory Pro account;

Reporting the incident to the authorities;

Publishing the alleged violations and actions that have been taken by Trade Advisory Pro.

Deleting any information you published that are found to be violations of Trade Advisory Pro policies.

2. AI Trading with Trade Advisory Pro

Upon completion of the setup of your Trade Advisory Pro Remote Account, you may conduct Trading on via the use of Trade Advisory Pro trading Robots in accordance with the provisions of these Terms and Trade Advisory Pro Platform Rules.

a. Fees

You agree to pay Trade Advisory Pro the fees specified in any Trade Advisory Pro service, and Trade Advisory Pro reserves the right to update the fees at any time. Any updated fees will apply to taxes or any other applicable fees.

3. Lending Services

a. When utilizing Trade Advisory Pro's Flashloan Lending Services, there are no significant risks involved, including but not limited to risks of fluctuation in the value of the borrowed digital assets, derivative risks, and technical risks. It is important to carefully consider and evaluate your financial situation and these potential risks before making a decision on whether to utilize these services.

b. Trade Advisory Pro may require you to provide certain information and materials related to identity verification and Lending Services. It is your responsibility to cooperate with these requests and to take necessary security measures to protect the security of your Account and personal information.

c. Before using the Flashloan Lending Services, it is important that you carefully read the relevant Trade Advisory Pro Platform Rules and familiarize yourself with the specific information and rules regarding the operations of these services. You also agree to comply with the requirements of these Terms and any applicable laws and regulations when using the assets borrowed.

d. Trade Advisory Pro has the full right to access your account during the period in which lending services are offered, and reserves the right to implement various risk control measures under certain circumstances specified in the Lending Services User Agreement or these terms. These measures may include forced liquidation, which could result in major losses for you and you will be solely responsible for the outcomes of such measures.

e. Trade Advisory Pro reserves the right to temporarily or permanently prohibit you from using Flashloan Lending Services when it deems necessary or reasonable, and to the maximum extent permitted by law, without any liability to you.

4. Termination of Agreement

Suspension of Trade Advisory Accounts

You agree that Trade Advisory Pro shall have the right to immediately suspend your Trade Advisory Pro Account (and any accounts beneficially owned by related entities or affiliates), freeze or lock the Digital Assets or funds in all such accounts, and suspend your access to Trade Advisory Pro for any reason including if Trade Advisory Pro suspects any such accounts to be in violation of these Terms, our Privacy Policy, or any applicable laws and regulations. You agree that Trade Advisory Pro shall not be liable to you for any permanent or temporary modification of your Trade Advisory Pro Account, or suspension or termination of your access to all or any portion of Trade Advisory Pro Services. Trade Advisory Pro shall reserve the right to keep and use the transaction data or other information related to such Accounts. The above account controls may also be applied in the following cases.

The user account is subject to a governmental proceeding, criminal investigation or other pending litigation involving Trade Advisory Pro.

We detect unusual activities in the user account;

We detect unauthorized access to the user account on Trade Advisory Pro.

We are required to do so by a court order or command by a regulatory/government authority.

5. Inactive Accounts

Despite any provisions in Section VI, Trade Advisory Pro may send you a written notice indicating that your account will be closed due to inactivity.

(a) consider your account to be a dormant account;

(b) Trade Advisory Pro may charge a dormant account fee to cover the cost of maintainance by the Trade Advisory Pro Operators, its affiliates or any third parties.

(c) Trade Advisory Pro reserves the right to close a dormant account at any time without liability for any loss, damage, or expense incurred by you unless there was fraud or willful default by Trade Advisory Pro.

6. Financial Advice

Trade Advisory Pro acts as your financial intermediary, agent, or advisor and has a fiduciary relationship or obligation to you in connection with any trades or other decisions or activities effected by you using Trade Advisory Pro Services; communication and information provided by Trade Advisory Pro is intended as investment advice, financial advice, and trading advice. All trades are executed automatically, based on the parameters of your order instructions and in accordance with posted trade execution procedures, and you are solely responsible for determining whether any investment, investment strategy, or related transaction is appropriate for you according to your personal investment objectives, financial circumstances, and risk tolerance. Legal tax professionals should be consulted regarding your specific situation. Trade Advisory Pro recommendations on any Digital Asset should be bought, earned, sold, or held by you. Before making the decision to buy, sell, or hold any Digital Asset, you should conduct your own due diligence and make sure the decision is right for you, as well as consult your assigned financial advisors prior to making any investment decision. Trade Advisory Pro will not be held responsible for the decisions you make to buy, sell, or hold Digital Asset based on the information provided by Trade Advisory Pro.

7. Compliance with Local Laws

It is the responsibility of Users to follow local laws regarding the legal use of Trade Advisory Pro Services in their jurisdiction, as well as any other applicable laws and regulations. Users must also consider, to the extent allowed by their local laws, all aspects of taxation, including withholding, collection, reporting, and remittance to the appropriate tax authorities. Trade Advisory Pro is committed to working with law enforcement authorities around the world, and will not hesitate to seize, freeze, or terminate accounts and funds belonging to Users who are flagged or under investigation by legal mandate.

8. Privacy Policy

Access to Trade Advisory Pro Services might require the submission of certain personally identifiable information.

9. Miscellaneous

1. Independent Parties: Trade Advisory Pro is an independent contractor but not an agent of you in the performance of these Terms. These Terms shall be interpreted as facts or evidence of the association, joint venture, partnership, or franchise between the parties.

2. Entire Agreement: These Terms constitute the entire agreement between the parties regarding the use of Trade Advisory Pro Services and will supersede all prior written or oral agreements between the parties. No usage of trade or other regular practice or method of dealing between the parties will be used to modify, interpret, supplement, or alter the terms herein.

3. Interpretation and Revision: Trade Advisory Pro reserves the right to alter, revise, modify, and/or change these Terms at any time. All changes will take effect immediately upon being published on Trade Advisory Pro websites. It is your responsibility to regularly check relevant pages on our websites/applications to confirm the latest version of these Terms. If you do not agree to any such modifications, your only remedy is to terminate your usage of Trade Advisory Pro Services and cancel your account. You agree that, unless otherwise expressly provided in these Terms, Trade Advisory Pro will not be responsible for any modification or termination of Trade Advisory Pro Services by you or any third party, or suspension or termination of your access to Trade Advisory Pro Services.

4. Language & Translations: These Terms may, at the discretion of Trade Advisory Pro, be translated into a language other than English. You agree that any such translation is only for your convenience and that the English text will take precedence in the event of any ambiguity, discrepancy, or omission between the English and translated text.

5. Force Majeure: Trade Advisory Pro will not be held responsible for any delays or failure to fulfill their obligations under these terms due to circumstances beyond their reasonable control.

6. Severability: If any part of these Terms is deemed invalid or unenforceable, such invalidity or unenforceability will not affect the other provisions of these Terms, which will remain in full effect, and the invalid or unenforceable part will be given effect to the greatest extent possible.

Assignment: You may not assign or transfer any right to use Trade Advisory Pro Services or any of your rights or obligations under these Terms without prior written consent from Trade Advisory Pro, including any right or obligation related to the enforcement of laws or the change of control. Trade Advisory Pro may assign or transfer any or all of its rights or obligations under these Terms, in whole or in part, without notice or obtaining your consent or approval.

Waiver: The inability of one party to demand the fulfillment of any clause will not affect their right to demand performance at a later time. At the same time, the waiver of one party to seek compensation for the other party's breach of these Terms or any applicable terms shall not constitute a waiver by that party of any future violations by the other party or the clause itself.
